Terms of Service

By accessing or using Cold Dog Distribution ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Platform.

Cold Dog Distribution LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations in connection with pet food and product distribution.

This license does not include the right to:

• Sublicense, resell, or provide access to the Platform to third parties
• Copy, modify, or create derivative works of any part of the Platform
• Reverse engineer, decompile, or disassemble any component of the Platform
• Use automated scripts or bots to extract data from the Platform

Access is role-based. Your permissions within the Platform are determined by the role assigned by your organization's administrator.

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete information when creating your account
• Keep your password secure and not share it with others
• Notify us immediately at security@colddogdist.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Cold Dog Distribution is not liable for any loss resulting from unauthorized use of your credentials that occurs before you notify us.

You agree not to use the Platform to:

• Upload or transmit malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to any system, account, or data
• Interfere with or disrupt the integrity or performance of the Platform
• Engage in any activity that violates applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Use the Platform for any purpose other than legitimate B2B distribution operations

We reserve the right to suspend or terminate access for any violation of this section without prior notice.

Our Property — The Platform, including all software, design, trademarks, and content created by Cold Dog Distribution LLC, is owned by us and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

Your Data — You retain ownership of all data you enter into the Platform, including orders, store records, product catalogs, and customer information. You grant us a limited license to store, process, and display that data solely to provide the service to you.

Feedback — Any suggestions or feedback you provide about the Platform may be used by us to improve the service without any obligation to you.

Access to Cold Dog Distribution is provided under a subscription agreement negotiated separately. By using the Platform, you agree to pay all fees specified in your agreement in accordance with the billing terms set out therein.

• Payment is processed through Stripe. By providing payment information, you agree to Stripe's terms of service.
• Subscription fees are non-refundable except as required by applicable law or as expressly stated in your agreement.
• We reserve the right to suspend access for non-payment after reasonable notice.

To the fullest extent permitted by law, Cold Dog Distribution LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Cold Dog Distribution in the twelve (12) months preceding the claim.

The Platform is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Either party may terminate access to the Platform with 30 days written notice. Cold Dog Distribution may terminate or suspend access immediately and without notice if you:

• Materially breach these Terms and fail to cure within 10 days of notice
• Use the Platform in a way that creates legal liability or security risk
• Fail to pay fees after 30 days past due

Upon termination, your right to access the Platform ceases immediately. We will retain your data for 90 days following termination, during which you may request an export. After 90 days, data is deleted subject to our retention obligations for financial records.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
